How to use this contract template

  • Use this Manufacturing contract template after award or as a negotiation checklist. Keep required public-contract clauses until the solicitation, award, and governing law confirm they are unnecessary.
  • The template is intentionally comprehensive so the user can delete non-applicable terms rather than start from an incomplete agreement.
  • Items in <angle brackets> require jurisdiction, agency, funding, or professional review.

Document status and responsibility notice

  • This template is a drafting reference only. It is not legal, procurement, tax, accounting, engineering, insurance, labor, security, or professional advice.
  • The user must compare every section against the live solicitation, amendments, incorporated clauses, agency instructions, funding terms, applicable federal rules, state and local law, industry license rules, and professional counsel before use.
  • Keep all placeholders until reviewed. Text inside <angle brackets> identifies an issue that can depend on jurisdiction, agency practice, funding source, industry regulation, project facts, or disputed interpretation.
  • Delete provisions that do not apply only after confirming they are not required by the solicitation, contract vehicle, prime contract, grant terms, state procurement code, or industry regulator.

Parties, authority, recitals, and order of precedence

  • Identify contractor, public owner/agency, prime contractor if applicable, contracting officer or authorized representative, legal authority, funding source, and award instrument.
  • Set order of precedence among solicitation, amendments, proposal, contract, task order, drawings/specifications, incorporated clauses, exhibits, and purchase order terms.
  • Flag <conflict between agency terms, prime flowdowns, purchase order boilerplate, and contractor proposal exceptions> for counsel review.

Definitions and interpretation

  • Define contract documents, work, deliverables, acceptance, business day, change order, confidential information, data, records, force majeure, subcontractor, affiliate, government-furnished property, and work product.
  • State interpretation rules for mandatory/optional language, singular/plural, headings, incorporated documents, electronic signatures, and time zones.
  • Flag <whether UCC Article 2, common-law services rules, mixed goods/services doctrine, or state procurement code controls>.

Scope of work and performance standards

  • Attach a detailed SOW with objectives, tasks, quantities, locations, hours, standards, deliverables, exclusions, assumptions, dependencies, and government responsibilities.
  • Require performance to meet the solicitation, proposal commitments accepted by the agency, applicable law, industry standards, and written agency directions.
  • Do not allow oral scope changes. Require written authorization from the contracting authority before additional work, substitution, or schedule change.

Deliverables, milestones, acceptance, and rejection

  • List each deliverable, due date, submission format, acceptance reviewer, objective acceptance criteria, review period, correction period, and deemed-acceptance rule if allowed.
  • State rejection procedure, notice contents, cure period, resubmission requirements, and effect on payment.
  • Flag <deemed acceptance, warranty start, liquidated damages, and agency inspection rights> for jurisdiction and solicitation review.

Term, options, transition, and closeout

  • State base term, option periods, notice requirements for option exercise, funding contingency, transition-in, transition-out, closeout deliverables, and record retention.
  • Require final invoice, release of claims if applicable, return of government property, data return/destruction, final reports, warranties, and unresolved issue list.
  • Flag <non-appropriation, automatic renewal, and option enforceability under public procurement rules>.

Contract management, notices, governance, and reporting

  • Name contract manager, project manager, invoicing contact, security contact, notice addresses, escalation contacts, and change authority.
  • Require regular status reports covering progress, risks, open decisions, deliverables, invoices, safety, quality, subcontractors, and compliance issues.
  • Formal notices should identify contract number, issue, requested action, deadline, attachments, and sender authority.

Personnel, subcontractors, conflicts, and flowdowns

  • Require qualified personnel, background checks, badges/access, training, licenses, conflict screening, and agency approval for key personnel changes where required.
  • Flow down mandatory clauses to subcontractors and suppliers, including labor, safety, security, privacy, records, audit, domestic preference, nondiscrimination, and termination obligations.
  • Flag <employee classification, independent contractor status, non-solicitation, non-compete, and key-person replacement rules>.

Compliance with law, solicitation, funding, and agency rules

  • Require compliance with the solicitation, award, incorporated FAR/agency clauses, federal/state/local law, grant/funding conditions, agency policies, and professional standards.
  • Include anti-bribery, anti-kickback, gratuities, lobbying restrictions, false claims, debarment/suspension, sanctions, equal opportunity, accessibility, public records, and audit cooperation.
  • Flag <state constitution debt limits, sovereign immunity, public records, open meetings, protest rules, domestic preference, and local procurement ordinance requirements>.

Industry-specific compliance and permits

  • Include UCC sale-of-goods concepts for acceptance, rejection, revocation, cure, warranties, title, risk of loss, and remedies where applicable.
  • Flag <state UCC variations, limitation of remedy, consequential damages exclusion, and warranty disclaimer enforceability>.

Security, privacy, confidentiality, data, and records

  • Classify data and require only authorized access, least privilege, MFA where applicable, encryption, secure disposal, incident reporting, audit logs, and subcontractor controls.
  • Set confidentiality exceptions for information already public, independently developed, legally compelled, or authorized for release.
  • Flag <HIPAA/BAA, FERPA, GLBA, CJIS, IRS 1075, NIST SP 800-171, CMMC, FedRAMP, PCI DSS, state privacy law, and breach notice timing>.

Quality assurance, inspection, warranty, and correction

  • Require a quality plan, inspection checkpoints, deficiency tracking, root-cause analysis, corrective action, reinspection, and acceptance evidence.
  • State workmanship/product/service warranties, professional standard of care, manufacturer pass-through warranties, and correction period.
  • Flag <disclaimer of implied warranties, limitation of remedy, and warranty duration> for UCC/state-law review.

Pricing, taxes, invoicing, payment, retainage, and setoff

  • Attach pricing schedule by CLIN/SLIN, unit, milestone, labor category, material, travel, reimbursable, option year, and contract ceiling.
  • Invoices must match contract line items, accepted deliverables, period of performance, and agency payment instructions. Use Attachment K unless the agency portal requires a different form.
  • Address prompt payment, retainage, withholding, setoff, disputed invoices, tax exemption, freight, travel documentation, and final invoice deadline.
  • Flag <state sales/use tax, public prompt-payment statute, retainage cap, pay-if-paid/pay-when-paid, lien waiver, and interest rules>.

Insurance, bonding, indemnity, and risk allocation

  • Set required insurance types, limits, deductibles, additional insureds, waiver of subrogation, primary/noncontributory status, certificates, endorsements, and notice of cancellation.
  • Set bonds required by solicitation: bid, performance, payment, maintenance, license, or permit bonds.
  • Indemnity should be reviewed for negligence, gross negligence, willful misconduct, IP infringement, data breach, bodily injury, property damage, environmental release, and subcontractor acts.
  • Flag <state anti-indemnity statutes, public entity indemnity limits, sovereign immunity, and limitation of liability enforceability>.

Intellectual property, work product, data rights, and publicity

  • Define background IP, third-party materials, deliverable work product, government purpose rights, license scope, open-source software, data rights, and ownership of records.
  • Prohibit publicity, logo use, case studies, and announcements without written agency approval.
  • Flag <Bayh-Dole, FAR data rights, copyright assignment, moral rights, trade secrets, AI-generated work, and open-source license obligations>.

Changes, suspension, delays, force majeure, and equitable adjustment

  • Require written change orders for scope, price, schedule, specifications, staffing, substitutions, or deliverables.
  • State notice deadline for delays, required mitigation, schedule update, documentation, and equitable adjustment procedure.
  • Force majeure should cover events beyond reasonable control but exclude financial inability, foreseeable supply constraints, or workforce shortages unless specifically negotiated.
  • Flag <no-damage-for-delay, concurrent delay, constructive change, and agency suspension clauses>.

Disputes, claims, audits, remedies, and survival

  • Set dispute escalation, claim notice, supporting documentation, continued performance pending dispute, audit rights, records retention, and survival of confidentiality, payment, warranty, IP, audit, and indemnity obligations.

Termination for convenience, default, funding, and regulatory change

  • Include termination for convenience, default/cause, non-appropriation, loss of funding, regulatory change, debarment/suspension, conflict of interest, and security incident triggers.
  • State cure rights, stop-work duties, transition support, payment for accepted work, inventory disposition, final invoice, and survival.
  • Flag <public entity convenience termination rights, lost-profit exclusion, and default cure periods>.

Attachments, exhibits, required forms, and invoice template

  • Attach all exhibits, forms, schedules, and user-confirmed agency requirements.

Every awarded contract should require an invoice that is traceable to the contract, purchase order, CLIN/SLIN, accepted deliverable, and payment instructions. Replace or delete fields only if the agency's e-invoicing portal or payment office requires a different layout.
