Terms of Service

1. Acceptance of these terms

These Terms of Service (the “Terms”) are a binding agreement between you and Octobid (“Octobid”, “we”, “us”). By creating an account, accessing, or using octobid.net and its applications (the “Service”), you agree to these Terms, the Privacy Policy, the Acceptable Use Policy, the Subscription & Billing Terms, and the AI & Responsibility Disclaimer, all of which are incorporated by reference.

If you do not agree, do not create an account or use the Service.

2. The Service and its boundaries

Octobid is a self-service workspace that helps small businesses discover public-sector contracting opportunities, monitor changes, organize company materials, and prepare reviewable draft proposals with optional AI assistance.

Octobid does not submit bids, log in to procurement portals on your behalf, certify eligibility or compliance, provide legal, financial, accounting, or pricing advice, or guarantee source completeness, deadlines, awards, or business results. You remain solely responsible for verifying every solicitation, requirement, deadline, representation, price, signature, and final submission.

3. Eligibility and authority

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.

4. Accounts and security

You are responsible for safeguarding your credentials and for all activity in your workspace. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or create risk to the Service or other users.

5. Your content and license

You retain all rights to the company materials, documents, and proposals you create or upload (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Service. You represent that you have the rights necessary to submit Customer Content and that it does not violate any law or third-party right.

6. AI-assisted output

AI-assisted drafts and assessments are informational only, may be inaccurate or incomplete, and are not a substitute for professional judgment. You must independently review and verify all output before any reliance or submission. See the AI & Responsibility Disclaimer.

7. Acceptable use

Your use of the Service is subject to the Acceptable Use Policy. Prohibited conduct includes unlawful use, abuse of data sources, security violations, infringement, and circumventing plan limits.

8. Fees and subscriptions

Paid plans are billed in advance on a recurring basis and renew automatically until cancelled, as described in the Subscription & Billing Terms. You authorize us and our payment processor to charge your payment method for the applicable fees and taxes.

9. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT DATA IS COMPLETE, CURRENT, OR ACCURATE. Public source data may be delayed or incomplete; always confirm against the original posting.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTOBID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, AWARDS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will indemnify and hold Octobid harmless from claims arising out of your Customer Content, your use of the Service, your bids and submissions, or your violation of these Terms or applicable law.

12. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for violations of these Terms. On termination, your right to use the Service ends; you may export your working files beforehand, and retained data is handled per the Privacy Policy.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Except where prohibited, disputes will be resolved by binding individual arbitration, and you and Octobid waive any right to a jury trial or to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by contacting support.

14. Changes to these terms

We may update these Terms. Material changes will be posted with an updated version date, and continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
